1. Confidentiality Obligations
1.1 Confidential Information: The Employee acknowledges that during the course of employment, they may have access to confidential and proprietary information, including but not limited to:
- Client identities and contact details
- Pricing structures and business strategies
- Software, databases, and other computer-related programs
- Internal administrative policies and projects
- Personnel information and employment records
1.2 Non-Disclosure Requirement: The Employee agrees to maintain strict confidentiality and shall not, at any time during or after employment, disclose, use, or disseminate any Confidential Information for personal benefit or any purpose other than the Agency’s legitimate business interests.
1.3 Electronic Records & Data Protection: The Employee is responsible for safeguarding all electronic records, login credentials, and passwords in accordance with the Agency’s HIPAA compliance manual and internal security policies.
2. Non-Compete & Non-Solicitation
For a period of twenty-four (24) months following the termination of employment, regardless of the reason for separation, the Employee agrees not to:
2.1 Employment Solicitation: Induce, solicit, or encourage any current Agency employee to resign or seek employment elsewhere.
2.2 Client Solicitation: Directly or indirectly approach, solicit, or provide services to any client (past or present within the last 24 months) of the Agency.
2.3 Referral Source Solicitation: Solicit referrals or business opportunities from any Agency referral sources.
2.4 Competitive Engagement: Disclose or share Agency client lists, employee details, or proprietary business information with any competing entity, or use such information for personal gain.
3. Return of Agency Property
Upon termination of employment or at the request of the Agency, the Employee shall promptly return all Agency property, including but not limited to:
- Keys, ID badges, and access cards
- Client records and forms
- Employee manuals and training materials
- Company-issued mobile devices, computers, or equipment
- The Employee shall not retain any copies, physical or electronic, of Agency property.
4. Consequences of Breach
Violation of this Agreement may result in:
- Immediate termination of employment.
- Legal action for damages, including loss of profits, replacement costs, and employee retraining expenses.
- Reimbursement of legal fees, costs, and other expenses incurred by the Agency in enforcing this Agreement.
5. Employment Relationship & Disclaimer
5.1 At-Will Employment: This Agreement does not alter the at-will nature of employment. Both the Employee and the Agency have the right to terminate employment at any time, with or without cause or notice.
5.2 Policy Amendments: The Agency reserves the right to update or modify this Agreement at its discretion. Any updates will be communicated to employees accordingly.
6. Acknowledgment & Signature
By signing below, the Employee acknowledges having read, understood, and agreed to comply with this Confidentiality and Non-Compete Agreement.
